seen the Constitution of the Kingdom of Cambodia;

seen Reach Kram NS/RKT/0399/01 of March 08, 1999 promulgating the
constitutional law on the amendment of Articles 11, 12, 13, 18, 22, 24, 26, 28,
30, 34, 51, 90, 91, 93, and Articles of Chapter 8 through Chapter 14 of the
Constitution of the Kingdom of Cambodia;

Having
seen Reach Kret NS/RKT/1198/72 of November 30, 1998 on the Appointment of the
Royal Government of Cambodia;

Having
seen Reach Kram 02/NS/94 of July 20, 1994, promulgating the Law on the
Organization and Functioning of the Council of Ministers;

Having
seen Reach Kram NS/RKM/0196/18 of January 24, 1996, promulgating the Law on the
Establishment of the Ministry of Economy and Finance;

Pursuant
to the proposal of Samdech Prime Minister and the Senior Minister and Minister
of Economy and Finance;
The
Law on the Approval of Government Guarantee of Payment to China Electric Power
Technology Import & Export Corp. which was enacted by the National Assembly
on the 4th of December 2000 at its 5th plenary session of
the 2nd legislature and entirely approved by the Senate on its form
and legal concepts on the 21st of December 2000 at its 4th
plenary session of the 1st legislature and include the following
provisions:
The Approval of Government Guarantee of Payment to
China Electric Power Technology Import & Export
Corp.
Article 1:
It is approved on the Government Guarantee of
Payment to China Electric Power Technology Import & Export Corp., referred
to as “CETIC” within the scope of project agreement between the Ministry of
Industry, Mines and Energy of the Royal Government of Cambodia and CETIC
Corporation which was signed in Phnom Penh on the 28th of July 2000.
The guarantee contains in the whole text, which was executed on the 28th of
July 2000 by the Minister of Economy and Finance of the Royal Government
attached therein.
Article 2:
The Royal Government of Cambodia shall
continue to its procedures to implement this Guarantee of Payment.
Article 3:
This Law shall be declared to be urgent.

We refer to the Power Purchase Agreement (as amended, varied, supplemented or novated at any time, the “PPA”) dated July 28, 2000 made by and between CHINA ELECTRIC POWER TECHNOLOGY IMPORT & EXPORT CORPORATION, a company duly incorporated under the laws of the People’s Republic of China with legal address at Block No. 5, Lipukang Street, West District, Beijing, P.R. China, including Project Company established by CETIC for the purpose of implementation of Power Purchase Agreement and other relevant agreements, its successors and permitted assignees, (CETIC and, as the case may be the Project Company are hereinafter collectively referred to as the “Company”) and the Electric du Cambodge, a wholly state-owned limited liability enterprise duly established under the laws of the Kingdom of Cambodia with its principal office located at Yukunthor Street, Watt Phnom, Phnom Penh, Kingdom of Cambodia, with its successors and permitted assignees, (hereinafter collectively referred to as the “EDC”) and the Implementation Agreement (as amended, varied, supplemented or novated at any time, the “IA”) dated July 28, 2000 made by and between the Ministry of Industry, Mines, and Energy (“MIME”) and the Company for the purpose of Kirirum I Hydropower Rehabilitation Project.
